Agreement and site use.

When these Terms apply, who may accept them, and the rules for using GEO's website and content.

01 Acceptance and scope

These Terms of Service ("Terms") govern access to and use of shipwithgeo.com, including website forms, inquiry tools, and communications that clearly reference these Terms. "GEO," "we," "us," and "our" mean GEO LLC.

You accept these Terms when you check an acceptance box, submit a form that clearly states that submission constitutes acceptance of these Terms, electronically sign or accept a document that incorporates them, or otherwise agree to them in writing. If you do not agree, do not use the site's transactional features.

Mere browsing does not create a transportation contract, employment relationship, partnership, agency relationship, or other service engagement. A specific transportation service is governed by the applicable service documents and mandatory law.

02 Eligibility and authority

You must be at least 18 years old, or the age of legal majority where you live, to enter into a binding commercial agreement through the site. If you use the site on behalf of a company or other organization, you represent that you have authority to bind that organization.

A career inquiry is only an expression of interest. It does not create an employment relationship, promise an interview, or guarantee an opening.

03 Website access and acceptable use

Subject to these Terms, GEO grants you a limited, revocable, nonexclusive, and nontransferable right to use the website for lawful personal or internal business purposes.

You may not:

Use the site for fraud, impersonation, unlawful activity, or infringement of another person's rights.

Interfere with the site's operation, security, servers, networks, forms, or connected services.

Introduce malicious code, attempt unauthorized access, or probe for vulnerabilities without written permission.

Scrape, harvest, copy, or extract site content or data through automated means except ordinary search-engine indexing.

Reverse engineer, bypass access controls, or misuse any feature to obtain information not intended for you.

Submit false, misleading, abusive, defamatory, or unlawful content.

GEO may suspend or block access when reasonably necessary to protect the site, its users, GEO's business operations, or compliance with applicable law.

04 Intellectual property, submissions, and feedback

The website, the GEO name, the official GEO logo, designs, text, photographs, graphics, and other content are owned by GEO or its licensors and are protected by applicable intellectual property laws. No rights are granted except for the limited website-use right stated above.

You retain ownership of information you submit. You grant GEO a limited right to receive, store, review, reproduce, and share that information as reasonably necessary to respond to your inquiry, evaluate a business or career opportunity, provide requested services, maintain records, protect the site, and comply with applicable law, subject to the Privacy Policy.

You represent that you have the right to submit the information and that it is accurate. Do not submit confidential, proprietary, export-controlled, or highly sensitive information through a general form unless GEO specifically requests it through an approved process.

If you voluntarily provide suggestions or feedback, GEO may use them without restriction or payment, provided that GEO does not publicly identify you without your permission.

05 Third-party links and tools

The site may link to or use services operated by third parties, including providers of hosting, forms, communications, mapping, analytics, and automation services. Those services may have their own terms and privacy practices.

A link does not imply GEO's endorsement, and GEO is not responsible for third-party content, availability, security, or practices except to the extent required by law or a separate agreement.

Inquiries and transportation services.

How requests, quotes, shipment information, scheduling, charges, and transaction documents work together.

06 Inquiries are requests, not commitments

A website form submission, email, call, or text is a request for information or contact. It does not obligate GEO to accept a shipment, provide a vehicle, reserve capacity, hire an applicant, enter into a partnership, or perform any service.

No transportation engagement exists until an authorized GEO representative and the appropriate customer or contracting party have accepted the applicable written service documents.

07 Quotes, estimates, and pricing

Quotes and estimates are based on the information available when issued and may have an expiration date. Unless a written document expressly states that a price is fixed, GEO may revise pricing when shipment details, service requirements, locations, timing, dimensions, weight, access conditions, regulatory requirements, or other material facts change.

Any mandatory charges known at the time of binding acceptance or payment will be disclosed as required by applicable law. Taxes, government charges, and optional or transaction-specific services may be stated separately where permitted.

Website content does not constitute a standing rate, tariff, guaranteed price, or guarantee of capacity.

08 Service documents control the transportation engagement

A specific transportation engagement may be governed by one or more documents, including a quote, rate confirmation, service agreement, shipper agreement, carrier agreement, bill of lading, delivery record, invoice, or other written document accepted by the applicable parties.

If these Terms conflict with a service-specific document, the more specific service document controls for that transaction to the extent permitted by law. Mandatory federal, state, or local law takes precedence over inconsistent contractual language.

These website Terms do not independently establish cargo liability limits, claim deadlines, payment deadlines, or insurance obligations unless a service document expressly incorporates the relevant provision.

09 Customer and shipment responsibilities

The person requesting service represents that they are authorized to tender the shipment or arrange the requested transportation. The requesting party must provide complete and accurate information, including:

Commodity description, quantity, dimensions, weight, value, and packaging.

Pickup and delivery locations, access conditions, contacts, and operating hours.

Requested timing and any service-critical deadlines.

Special-handling, security, temperature, permit, documentation, or regulatory requirements.

Any fact that could affect safety, legality, price, routing, equipment, or insurance.

Accurate billing and payment information when requested through an approved process.

GEO may rely on the information provided and may revise a quote, refuse service, pause performance, or request additional documentation if the information is incomplete or inaccurate, or if material facts change.

10 Illegal, unsafe, and regulated goods

Do not tender or request transportation of illegal, stolen, unsafe, hazardous, controlled, highly regulated, or specially handled goods unless all relevant characteristics have been fully disclosed, all required legal and safety conditions have been satisfied, and GEO has expressly accepted the shipment in writing.

GEO may refuse, stop, isolate, or return a shipment when reasonably necessary to protect people, property, operations, or compliance with applicable law, subject to the service documents.

11 Scheduling, delays, changes, cancellations, and additional charges

Pickup and delivery dates and times are estimates unless an authorized GEO document expressly identifies the service as guaranteed and states the applicable terms. Traffic, weather, road conditions, facility access, customer readiness, governmental action, equipment availability, and other circumstances may affect timing.

Changes, cancellations, waiting time, detention, redelivery, storage, after-hours service, permits, tolls, special equipment, additional stops, or other transaction-specific services may result in reasonable additional charges if those charges are stated or authorized in the applicable service documents and disclosed as required by law.

12 Payment, taxes, cargo claims, and transportation law

Payment obligations, credit terms, invoice disputes, taxes, and collection rights are governed by the applicable quote, invoice, credit agreement, service agreement, or other transaction document.

Claims for cargo loss, damage, or delay are governed by the service documents and applicable law. Nothing in these website Terms alters rights or liabilities under the Carmack Amendment, 49 U.S.C. section 14706, when applicable, or under any other mandatory transportation law.

GEO's role in a specific transaction is stated in the applicable service documents and is subject to its operating authority. Different roles may carry different legal responsibilities under applicable transportation law.

13 Communications and electronic records

When you contact GEO, you authorize GEO to respond through the contact methods you provide in connection with the inquiry, transaction, support request, partnership discussion, or career-related communication. Transactional communications are distinct from marketing communications. Marketing communications require any consent mandated by applicable law.

Where applicable law requires express consent for marketing emails, calls, or text messages, that consent will be requested separately and is not a condition of purchasing transportation services.

When you affirmatively agree to conduct a transaction electronically, electronic records and signatures may be used to the extent permitted by law. You may request a paper copy of an electronic record by contacting GEO. A reasonable reproduction or delivery charge may apply if permitted by law and disclosed in advance.

Risk and responsibility.

Website availability, third-party involvement, legal disclaimers, liability boundaries, and events beyond reasonable control.

14 Website information and availability

GEO may change, suspend, or discontinue website content or features at any time. GEO does not guarantee that the site will be uninterrupted, error-free, completely secure, or available in every location or on every device.

Website descriptions provide general information and are not legal, tax, insurance, safety, customs, regulatory, or other professional advice. Users are responsible for obtaining advice appropriate to their circumstances.

15 Third-party providers and operational partners

Depending on the transaction and GEO's legal role, GEO may use or coordinate with authorized motor carriers, drivers, facilities, technology providers, payment providers, communications vendors, or other service providers.

GEO's role in a specific move, including whether it acts as a motor carrier, broker, or in another capacity, is determined by its operating authority, the accepted service documents, and applicable law. Do not infer GEO's role solely from website wording or imagery.

16 Disclaimer of website warranties

To the maximum extent permitted by law, the website and its general content are provided "as is" and "as available." GEO disclaims implied warranties relating solely to website use, including implied warranties of merchantability, fitness for a particular purpose, and noninfringement, except where those warranties cannot lawfully be disclaimed.

This disclaimer does not replace any warranty, service commitment, or legal obligation expressly stated in a signed service document or imposed by applicable law.

17 Limitation of liability

To the maximum extent permitted by law, GEO will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising solely from the use of, or inability to use, the website, including lost data, lost profits, or business interruption, even if the possibility of such damages was known.

This website limitation does not govern liability for an accepted transportation service; such liability is determined by applicable law and the service documents. It also does not apply to liability arising from fraud, willful misconduct, gross negligence, violations of law, breaches of non-waivable privacy or confidentiality duties, personal injury or property damage to the extent such liability cannot lawfully be limited, or any other liability that cannot legally be excluded or limited.

18 Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold GEO and its personnel harmless from third-party claims, losses, and reasonable costs arising from your intentional or unlawful misuse of the website, your submission of materially false shipment information, your violation of these Terms, or your infringement of another person's rights.

This obligation does not apply to the extent that a claim is caused by GEO's negligence, willful misconduct, violation of law, or other conduct for which indemnification cannot lawfully be required.

19 Events beyond reasonable control

GEO is not responsible for a delay or failure to perform caused by events beyond its reasonable control, such as severe weather, natural disasters, road closures, accidents, governmental orders, labor disruptions, utility or communications failures, cyberattacks, public emergencies, facility shutdowns, or acts or omissions of third parties.

This section is subject to applicable law and any more specific force majeure provision in the relevant service documents.

20 Non-waivable rights and California limits

Nothing in these Terms limits responsibility for fraud, willful injury, violations of law, or other conduct that cannot be limited under California Civil Code section 1668 or other applicable law. Nothing waives rights that cannot be waived under the California Consumers Legal Remedies Act or another consumer protection law.

Nothing in these Terms restricts your right to make a lawful and honest review, report suspected wrongdoing, contact a regulator, participate in an investigation, or pursue any other legally protected activity.

Chapter 04

California and general terms.

Issue resolution, governing law, California consumer information, contract interpretation, updates, and contact details.

21 Good-faith issue resolution

Before filing a lawsuit concerning website use, the parties are encouraged to provide a written description of the issue and the requested resolution, then allow a reasonable opportunity for good-faith discussion. This does not prevent either party from seeking urgent relief or complying with a statutory or contractual deadline.

These Terms do not require arbitration and do not include a class-action waiver.

22 Governing law and venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles, except when federal transportation law or another mandatory law applies.

Unless applicable law permits or requires a different forum, a dispute relating solely to these website Terms may be brought in the state or federal courts located in the California county in which GEO's principal place of business is located. Consumer rights to bring a claim in another proper forum remain unaffected when applicable law does not permit waiver.

23 California consumer notice

To the extent that California Civil Code section 1789.3 applies, website access is currently provided without a separate access fee. Charges for transportation or other paid services are stated in the applicable quote or service document before binding acceptance or payment, subject to lawful changes described in that document.

24 International access and translations

The website may be accessible from outside the United States, but GEO does not represent that every feature or service is available or lawful in every location. Users are responsible for complying with the laws applicable to their access and submissions.

Translations may be provided for convenience. If a translation conflicts with the English-language version, the English-language version controls unless applicable law requires otherwise.

25 Severability, waiver, and assignment

If any provision is unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will remain in effect. A delay in enforcing a right is not a waiver.

You may not assign these Terms without GEO's written consent. GEO may assign them in connection with a merger, acquisition, reorganization, asset transfer, or operation of law, subject to applicable rights.

26 Entire agreement and order of priority

These Terms, the Privacy Policy, and any documents expressly incorporated by reference constitute the complete agreement concerning website use.

They do not replace service-specific documents. For an accepted transaction, the applicable signed or otherwise accepted service documents and mandatory law control to the extent they conflict with website language.

27 Changes to these Terms

GEO may update these Terms to reflect changes to the website, services, law, or business practices. The updated version will display a new "Last updated" date.

Material changes apply prospectively unless the parties agree otherwise or applicable law permits a different result. A transaction accepted before an update remains governed by the terms and service documents in effect when it was accepted.
